1. Acceptance and Eligibility

1.1 Acceptance. These Terms of Service ("Terms") govern your access to and use of the Polaris platform and related services ("Service"), operated by Infinite Creations Pvt. Ltd., a company incorporated in India ("Infinite Creations," "we," "us," or "our"). By creating an account, connecting a data source, clicking to accept, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1.2 Electronic Contract. These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They are generated by a computer system and do not require a physical or digital signature. Your acceptance online forms a binding agreement.

1.3 Business Use Only. The Service is intended and provided solely for business and professional purposes, including use by businesses, agencies, SEO professionals and consultants, and their authorized team members and clients. By using the Service you confirm that you are acting in the course of a business or profession and not as a consumer. The Service is not directed to consumers.

1.4 Eligibility and Authority. You must be at least 18 years old and legally competent to enter into a contract. If you accept these Terms on behalf of a business or organization, you represent that you have authority to bind it, and "you" includes that business or organization.

1.5 Key Terms. In these Terms:

  • "Account Owner" means the person or entity that created the account.
  • "Authorized User" means an individual whom the Account Owner permits to use the account, such as an employee, contractor or invited Client.
  • "Client" means a third party for whom you provide SEO or related services and who views your reports, dashboards or portals.
  • "Connected Service" means a third-party service you connect to Polaris, including Google Search Console.
  • "Plan" means the subscription plan you select.

2. Description of the Service

2.1 The Service. Polaris is a web-based SEO analytics, reporting and optimization platform. Depending on your Plan and enabled features, it may include:

  • Google Search Console data analysis and SEO performance reporting
  • Custom topic clusters and categories
  • Keyword analysis and tracking, including keyword cannibalization analysis
  • Content decay analysis
  • Page Indexation Validator and URL and page-level analysis
  • Search visibility monitoring and SEO optimization recommendations
  • Historical SEO data, dashboards and analytics
  • Client portal functionality
  • Ahrefs data through the Ahrefs API, and other Connected Services we add from time to time
  • Other SEO-related features we introduce from time to time

2.2 Plans, Trials and Usage Limits. Features, limits, storage periods and availability vary by Plan. Free trials and free plans may be limited, changed or ended at any time and are provided without warranty. We may apply reasonable limits on the number of properties, requests, data volume and storage, and may throttle usage that threatens the Service or exceeds your Plan.

2.3 Support. We provide support by email at the address in Section 20.6. Unless we agree otherwise in writing, we do not offer a service level agreement or guaranteed response time.

3. Accounts and Security

3.1 Account Creation. You must provide accurate, current and complete information when creating an account and keep it updated. You may not use false, misleading or fraudulent information.

3.2 Account Security. You are responsible for keeping your credentials confidential, for restricting access to your account, and for all activity under your account, except to the extent caused by our breach of these Terms.

3.3 Unauthorized Access. Tell us promptly if you learn of unauthorized access to your account, credentials or Connected Services. We may take reasonable steps to protect your account, including temporary suspension where we reasonably believe there is unauthorized access, fraud, abuse or a security risk.

3.4 Authorized Users and Clients. You are responsible for the acts and omissions of your Authorized Users, including their compliance with these Terms. You decide whether to invite a Client. Clients are not our customers, and we owe them no obligations under these Terms. Any claim a Client has relating to your services or reports is a matter between you and the Client.

4. License and Restrictions

4.1 Service License. Subject to these Terms and your Plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for legitimate business and professional purposes, including:

  • Analyzing SEO and search performance data for websites you own or are authorized to manage
  • Connecting Google Search Console properties you are authorized to connect
  • Creating SEO reports and dashboards and monitoring website and keyword performance
  • Collaborating with your Authorized Users

4.2 Commercial Use. You may use Polaris commercially, including to provide SEO, marketing, consulting or analytics services to your Clients. You remain responsible for ensuring that your use of Polaris and the data you provide are authorized.

4.3 Restrictions. Except as these Terms expressly allow, you may not:

  • Copy, reproduce or create derivative works of the Service
  • Sell, resell, sublicense, lease or otherwise commercially redistribute access to the Service itself (sharing your own reports and portals with Clients under Section 4.4 is allowed)
  • Reverse engineer, decompile, disassemble or try to obtain the source code, except where applicable law expressly permits
  • Use the Service to build or support a competing product or service
  • Circumvent Plan limits, authentication or access controls

4.4 Client Portals and Shared Reports. You may share reports, dashboards and portal access with Clients and others. You decide who receives access. You are responsible for the recipients you choose, for revoking links or access you no longer want active, and for the content you share. Anyone who holds a share link can view what the link exposes, as you configure it. We are not responsible for disclosures that result from your sharing settings.

4.5 Site Checks. Some features, such as the Page Indexation Validator and URL analysis, send requests to URLs you submit or call Google's URL inspection and related APIs on your behalf. You authorize us to make those requests for websites you own or are authorized to manage, and you confirm that doing so does not breach your hosting terms or other agreements. We may limit request frequency to protect our systems and to respect Google's quotas.

5. Acceptable Use

You may not, and may not permit anyone else to, use Polaris to:

  • Violate any applicable law or regulation
  • Infringe or violate another person's intellectual property, privacy or other rights
  • Access data, accounts, properties or systems you are not authorized to access, or connect a Search Console property you are not authorized to connect
  • Interfere with or disrupt the Service, servers, networks or infrastructure, or compromise its security, availability or integrity
  • Introduce malware, viruses or other harmful code
  • Scrape or send excessive automated requests, other than through interfaces we document
  • Try to gain unauthorized access to other accounts or systems
  • Impersonate another person or organization, or provide false or misleading information
  • Send spam or unlawful communications
  • Share account credentials with anyone who is not an Authorized User
  • Abuse client sharing, portal or reporting features, including by misrepresenting reports or exposing data of others without authority

We may investigate suspected violations and take appropriate action, including suspending or terminating access.

6. User Data and Connected Data

6.1 Your Data. You retain ownership of the data, content, URLs, reports and other materials you submit to or make available through Polaris, including data we obtain from Connected Services through your authorization ("User Data"). We do not claim ownership of User Data.

6.2 Processing. You authorize us to access, process, store, analyze and display User Data as reasonably necessary to provide, maintain, secure and improve the Service, subject to our Privacy Policy and any applicable Data Processing Agreement.

6.3 Connected Data. You represent and warrant that you have all rights, permissions, authorizations and consents needed to:

  • Connect the websites and properties you provide to Polaris
  • Access the associated data
  • Permit us to process that data

If you connect properties or data on behalf of a Client or another organization, you are responsible for obtaining that party's authorization, and you must disconnect the property promptly if the authorization ends.

6.4 Google User Data. Our use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including its Limited Use requirements. We use Google user data only to provide and improve the user-facing features of the Service. We do not sell it, do not use it for advertising, and do not use it to develop or train generalized artificial intelligence or machine learning models. We transfer it only as needed to provide the features you use, to comply with law, or as part of a merger, acquisition or sale of assets after notice to you. You may disconnect a property at any time in Polaris or revoke access in your Google account permissions. [Confirm this section matches your Privacy Policy word for word on Limited Use.]

6.5 Historical Data and Retention. Polaris may store historical data from Connected Services for longer than the Connected Service makes it available, in order to provide historical reporting. We keep it for as long as your Plan includes, and for no more than 6 years. If you disconnect a property, we keep its data for up to 6 months in case you reconnect and then delete it, unless you ask for earlier deletion or the law requires us to keep it. Any backup copies are overwritten within the same 6-month period. Retention after account termination is covered in Section 10.3.

6.6 Security and Incidents. We use reasonable technical and organizational measures designed to protect User Data. No electronic storage or transmission is completely secure, and we cannot guarantee absolute security. If a personal data breach affects your User Data, we will notify you without undue delay and as required by applicable law and any Data Processing Agreement.

6.7 Backups. You are responsible for keeping independent copies of any User Data or reports that are important to you. Polaris is not your sole backup or archive unless a feature expressly says so.

6.8 Aggregated Data. We may create and use aggregated or de-identified data that does not identify you, your Clients or any individual, to operate, secure and improve the Service and to produce statistics. This right does not extend to uses that Section 6.4 prohibits for Google user data.

7. Privacy and Third-Party Services

7.1 Privacy Policy. Our Privacy Policy explains how we collect, use, store and protect personal information and is incorporated into these Terms. If it conflicts with these Terms on how personal data is handled, the Privacy Policy and any Data Processing Agreement prevail.

7.2 Third-Party Services. Polaris integrates with third-party services, including Google Search Console. Your use of them is subject to their own terms and policies. Third parties may change or discontinue their APIs, impose rate limits, restrict access, suffer outages, or return incomplete or inaccurate data. When that happens, parts of Polaris may become unavailable or work differently. We are not responsible for interruptions or limitations caused by third-party services beyond our reasonable control.

7.3 Google Search Console** and Ahrefs****.** Polaris accesses Google Search Console data through Google's APIs only after you authorize the connection. You are responsible for having the right to connect and use each property. Polaris also uses publicly available data from the Ahrefs API. Ahrefs data is provided under Ahrefs' own terms, and we do not control its accuracy or availability, and Ahrefs may change or withdraw access at any time. We may add other Connected Services over time, and these Terms apply to them from the date we offer them.

7.4 Data Protection. Where we process personal data on your behalf, such as personal data that appears in search queries or in Client contact details you add, you determine the purposes and means (as controller or data fiduciary) and we process it on your instructions (as processor). Our Data Processing Agreement, available at /data-processing-agreement, applies where required by data protection law and is incorporated into these Terms. For account and billing data about you and your Authorized Users, we act as controller under our Privacy Policy. Each party will comply with the data protection laws that apply to it, including the Digital Personal Data Protection Act, 2023 where applicable. We may process data in India and in other countries where our service providers operate, as our Privacy Policy and any Data Processing Agreement describe.

8. Subscriptions, Billing and Taxes

8.1 Plans. We offer Plans with different features, data and usage limits, storage periods and access levels. The features and limits of your account are those of the Plan you select.

8.2 Free Trials. We may offer free trials. If a trial converts automatically to a paid Plan, we will say so clearly before the trial starts.

8.3 Billing. Unless stated otherwise, fees are billed in advance on a recurring basis at the frequency you select, in the currency shown at checkout. Payments are processed by third-party payment providers whose terms also apply. You must provide valid and current payment information.

8.4 Automatic Renewal. Unless you cancel before the renewal date, your subscription renews for the same period, and you authorize us and our payment provider to charge the renewal fee and applicable taxes. Recurring card payments follow applicable Reserve Bank of India rules and payment gateway requirements, which may include pre-debit notifications and additional authentication. You may withdraw a recurring payment instruction at any time, which will also cancel renewal.

8.5 Failed Payments. If a payment fails or is overdue, we may restrict or suspend paid features after giving you notice, until payment is made.

8.6 Price Changes. We may change prices or Plan structures on at least 30 days' written notice to existing subscribers. A change takes effect at your next renewal after the notice period, and you may cancel before then.

8.7 Taxes. Fees exclude taxes, including GST, which we add where applicable. You must give us accurate tax details, including a valid GSTIN where relevant. If the law requires you to deduct or withhold tax, you must pay it to the authority and give us a valid certificate promptly. You are responsible for all other taxes, duties and levies on your purchase, except taxes on our income.

9. Cancellation and Refunds

9.1 Cancellation. You may cancel through your account settings or by contacting support. Cancellation takes effect at the end of the current paid period, and you keep access until then.

9.2 Refunds. If you are a new customer, you may request a refund of your first subscription payment within 30 days of that payment by emailing the address in Section 20.6. Otherwise, fees are non-refundable for partially used billing periods, except where the law requires or Section 10.4 applies.

9.3 Payment Disputes. If you think you were charged incorrectly, contact us promptly so we can investigate and resolve it before you raise a dispute with your bank. We may suspend paid features while a chargeback is pending.

10. Suspension and Termination

10.1 Termination by You. You may stop using Polaris and close your account through the account or subscription cancellation process.

10.2 Suspension or Termination by Us. We may suspend or terminate your access if:

  • You materially breach these Terms
  • You do not pay fees when due
  • Your use creates a security, legal or operational risk
  • You try to access data or systems without authorization
  • You engage in fraud or abuse, or give materially false information
  • Suspension or termination is needed to comply with law

Where reasonably practical, we will give notice and a chance to fix the breach first. We may suspend immediately where needed to address security threats, fraud, abuse or legal requirements.

10.3 Effect of Termination. When your account ends, your right to use the Service stops and paid access ends. For [30] days after termination you may ask us to export your User Data, unless we terminated for fraud, abuse, unauthorized access or a legal requirement. After that, we delete or de-identify your User Data within 6 months, except records we must keep by law, such as tax and invoice records. Any backups are overwritten within that same period, as Section 6.5 describes.

10.4 Discontinuation by Us. We may discontinue the Service or a paid Plan on at least 30 days' notice. If we do, we will refund prepaid fees for the period after the discontinuation date.

11. Intellectual Property and Confidentiality

11.1 Service Ownership. Infinite Creations Pvt. Ltd. and its licensors own all rights, title and interest in Polaris, including its software, source code, user interfaces, features, algorithms, designs, documentation, branding, technology and platform architecture. Nothing in these Terms transfers ownership of Polaris or its technology to you.

11.2 Trademarks. "Polaris" and related names, logos, designs and branding may be trademarks or proprietary assets of Infinite Creations or its licensors. You may not use them without our prior written permission, except as the law allows.

11.3 Feedback. If you give us suggestions, ideas or feedback about Polaris, we may use them without restriction or compensation, provided we do not disclose your confidential information or User Data.

11.4 Confidentiality. Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Your User Data is your Confidential Information. The receiving party will use Confidential Information only to perform its obligations or exercise its rights under these Terms, protect it with reasonable care, and share it only with personnel, advisers and service providers who need to know and are bound by similar duties. These duties do not apply to information that is public through no fault of the receiver, was already known to it, was independently developed, or must be disclosed by law or court order (with notice to the other party where lawful). They continue for 3 years after termination, and for as long as we hold your User Data.

12. AI Features and Beta Features

AI features are coming soon. This section applies to each AI or beta feature from the date it becomes available.

12.1 AI Features. Some features, now or in future, may use artificial intelligence to produce recommendations, summaries or classifications. These outputs may be inaccurate or incomplete, and you should check them before relying on them. We do not use your User Data to train generalized AI models, and we do not allow our AI service providers to do so. [Confirm this with your AI vendors before publishing.] Where we offer a setting to turn off AI features, you may use it at any time.

12.2 Beta Features. We may offer beta, preview or experimental features. They are provided as is, may change or be withdrawn at any time, may carry extra terms we show you, and come with no warranty.

13. Disclaimers

13.1 Service Availability. We aim to provide reliable access but do not guarantee that the Service will always be available, uninterrupted, error-free or free from delays.

13.2 Data Accuracy. Polaris relies on information from third-party services, APIs, websites and data sources. We do not guarantee that this data will always be accurate, complete, current or available. Section 7.2 describes how third-party changes can affect the Service.

13.3 SEO Results. Polaris provides analytics, reporting, insights, recommendations and optimization tools. We do not guarantee any particular search ranking, organic traffic, impressions, clicks, conversions, revenue, leads, business performance or other SEO outcome. Search engine algorithms, indexing systems, competition, website changes and other external factors affect SEO performance. You are responsible for decisions and actions you take based on anything Polaris provides.

13.4 No Warranties. To the maximum extent permitted by law, Polaris is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

14. Limitation of Liability

14.1 Exclusion of Certain Damages. To the maximum extent permitted by law, Infinite Creations Pvt. Ltd. and its affiliates, officers, employees, contractors and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, business opportunities, goodwill or data, or business interruption.

14.2 Maximum Liability. To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim and (b) [INR 10,000]. This limit applies whether the claim is in contract, tort (including negligence), strict liability or any other theory. It does not limit your obligation to pay fees or your obligations under Section 15.

14.3 Third-Party Services. We are not responsible for losses caused by the acts, omissions, outages, changes or failures of third-party services or integrations, as Section 7.2 describes.

14.4 Exceptions. Nothing in these Terms limits or excludes liability for fraud, gross negligence or wilful misconduct, or any liability that cannot lawfully be limited or excluded.

15. Indemnification

15.1 Your Indemnity. To the maximum extent permitted by law, you will defend, indemnify and hold harmless Infinite Creations Pvt. Ltd. and its affiliates, officers, directors, employees, contractors and agents from third-party claims, and the resulting losses, liabilities, costs and reasonable legal fees, arising from:

  • Your use or misuse of the Service
  • Your or your Authorized Users' breach of these Terms or violation of law
  • Your infringement or violation of another person's rights
  • Data or content you submit to the Service
  • Your failure to obtain proper authorization to access or share data from a Connected Service or from a Client
  • Claims by your Clients or Authorized Users relating to your services or reports

This does not apply to the extent a claim is caused by our breach of these Terms, gross negligence or wilful misconduct.

15.2 Procedure. We will tell you promptly about a claim, let you control its defence and settlement (but you may not settle in a way that admits fault for us or imposes obligations on us without our consent), and give reasonable help at your expense.

16. Force Majeure

We are not responsible for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, war or civil unrest, government actions, internet or telecommunications failures, power failures, cloud infrastructure failures, cybersecurity incidents beyond our reasonable control, and third-party service outages or API changes. This does not excuse your obligation to pay fees.

17. Changes to the Service and Terms

17.1 Service Changes. We may modify, improve, add, remove or discontinue features from time to time. We will make reasonable efforts to avoid materially disrupting paid functionality, but we do not guarantee that any feature will remain available indefinitely. Section 10.4 applies if we discontinue the Service or a paid Plan.

17.2 Changes to These Terms. We may update these Terms. For a material change that is adverse to you, we will give at least 30 days' notice through the Service or by email before it takes effect. A change required by law or needed to address a security risk may take effect sooner.

17.3 Continued Use. If you keep using Polaris after updated Terms take effect, you accept them, to the extent the law allows. If you do not agree, you may cancel before they take effect.

18. Governing Law and Disputes

18.1 Governing Law. These Terms are governed by the laws of India, without regard to conflict-of-law principles.

18.2 Arbitration. Disputes arising out of or relating to these Terms or the Service will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration is New Delhi, India. The language is English, and there will be a sole arbitrator appointed by agreement of the parties or, failing agreement, as the Act provides. The courts at New Delhi have jurisdiction only for interim relief and to enforce an award.

18.3 Informal Resolution. Before starting formal proceedings, the party raising a dispute must send the other a written notice describing it and allow 30 days for good-faith resolution. Either party may skip this step to seek urgent interim or injunctive relief.

18.4 Mandatory Rights. Nothing in these Terms stops a party from exercising rights or remedies that cannot lawfully be waived or restricted.

19. Notices and Grievance Officer

19.1 Notices. We may give you notice by email to the address on your account or through the Service. You may give us notice at the email address in Section 20.6. Email notices are effective when sent, unless the sender receives a delivery failure message.

19.2 Grievance Officer. To raise a complaint about the Service or how we handle personal data, contact our Grievance Officer: Puneet Gupta, [email protected], 2nd Floor, 2/16 WHS A Block Kirti Nagar Industrial Area, New Delhi. We will acknowledge complaints within 48 hours and aim to resolve them within 30 days.

20. General

20.1 Entire Agreement and Order of Precedence. These Terms, with our Privacy Policy, any Data Processing Agreement, and any order form or written agreement we sign with you, are the entire agreement between you and Infinite Creations about Polaris. If they conflict, the order of priority is: (1) the Data Processing Agreement, for processing personal data; (2) a signed order form or written agreement; (3) these Terms.

20.2 Severability and Waiver. If a provision is held invalid or unenforceable, it will be limited to the minimum extent necessary and the rest of the Terms stay in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.

20.3 Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent, except where the law allows. We may assign or transfer them in connection with a merger, acquisition, restructuring, sale of assets or similar transaction.

20.4 Survival and Equitable Relief. Sections that by their nature should continue after termination do so, including Sections 6.1, 8.7, 11, 13, 14, 15, 18 and 20. A breach of Sections 4.3, 5 or 11 may cause harm that money cannot fix, so the affected party may seek injunctive relief in addition to other remedies.

20.5 Relationship and Compliance. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship, and there are no third-party beneficiaries. You confirm that you are not on a sanctions or restricted-party list and will not use the Service in breach of applicable export-control or sanctions laws.
